Terms of Service
Parking Wizard · Cardinal Ecosystem LLC · Effective October 30, 2026
1. Who we are and what these terms cover
Parking Wizard (the “Service”) is software for running truck, trailer and vehicle parking and storage lots. It is provided by Cardinal Ecosystem LLC, a Texas limited liability company (“Cardinal,” “we,” “us”).
These Terms of Service (“Terms”) apply to everyone who uses the Service:
- Operators: businesses that subscribe to Parking Wizard to run a lot, and the owners, managers and employees they give access to.
- Renters: people and companies who rent parking from an Operator and use the Service to sign up, sign in, view their account or pay (for example through a customer portal or a pay link).
By creating an account, signing in, paying through the Service, or otherwise using it, you agree to these Terms. If you use the Service for a company, you confirm you are authorized to accept these Terms for that company. If you do not agree, do not use the Service.
2. Important for Renters: your agreement is with the lot
Each lot using Parking Wizard is owned and run by its Operator, not by Cardinal. Your rental of a space, your rates, fees, deposits, late fees, rules, access, towing, lockout, lien and move-out terms are all between you and that Operator, under your rental agreement with them and applicable law. Cardinal is not a party to that agreement and does not decide or enforce its terms.
Questions about your space, charges, refunds or disputes should go to the Operator. Their contact details appear on their website and on your invoices.
3. Accounts and security
You must give accurate information and keep it up to date. Keep your password and any two-step sign-in device secure, and do not share accounts. You are responsible for activity under your account. Tell the Operator (Renters) or us (Operators) right away if you think your account has been misused.
Operators are responsible for the users they invite, for the permissions they grant, and for removing access promptly when someone leaves. Removing a user ends their access immediately.
4. Operator subscriptions and fees
Operators pay Cardinal for the plan they choose. Plans, prices and limits (such as the number of rentable spaces) are shown when you subscribe and in Settings → Billing.
- Billing. Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled. Payment is handled by our payment processor (Stripe); we do not store full card numbers.
- Cancelling. You can cancel at any time from Manage billing. Cancellation takes effect at the end of the current billing period. Fees already paid are not refundable, except where required by law or where we agree otherwise in writing.
- Changes. Plan changes take effect as shown at checkout (upgrades may be prorated). We may change prices with at least 30 days' notice; the new price applies from your next renewal.
- Taxes. Prices do not include taxes unless stated. You are responsible for applicable taxes.
- Late payment. If a payment fails, we will notify you. If it is not resolved, we may limit or suspend the Service after further notice. We will not delete your records because of a late payment without the notice described in Section 16.
- Pilots and custom agreements. Founding pilot, enterprise or other signed agreements control where they differ from these Terms.
5. Rent payments through the Service
Operators may connect their own Square or Stripe account so Renters can pay online, save a card or use autopay. When they do:
- Payments go directly to the Operator's own processor account. Cardinal does not receive, hold or transfer Renters' rent and is not a bank or money transmitter.
- Card details are entered on the processor's secure forms and are not stored by Parking Wizard. We keep only limited details such as card brand, last four digits and expiry, so the Operator can recognize a saved card.
- The processor's own terms also apply. Refunds, chargebacks, disputes and processing fees are between the Renter, the Operator and the processor.
- By turning on autopay or saving a card, a Renter authorizes the Operator to charge that card for amounts due under their rental agreement, as described where the card is saved. Renters can ask the Operator to turn autopay off or remove a card at any time.
- Operators are responsible for recording payments accurately and for honoring refunds, credits and receipts.
6. Operator responsibilities
Parking Wizard is a tool. Operators remain fully responsible for how they run their business, including:
- their rental agreements, rates, fees, late fees and notices;
- complying with laws that apply to them, including laws on liens, towing, lockouts, storage and parking facilities, consumer protection, debt collection, privacy and data security;
- getting any consents needed to email or text Renters, and honoring opt-outs (text messaging is optional and off unless turned on);
- collecting, storing and using driver's license or ID images and vehicle information only for lawful purposes;
- reviewing and approving every lockout, lien, sale or termination step. The Service never takes those steps automatically.
Templates, reminders, reports and other content in the Service are for convenience and are not legal, tax or accounting advice. Talk to your own advisors.
7. Your data
Operator data. Information an Operator or its Renters put into the Service (tenant records, spaces, invoices, payments, files and messages) belongs to the Operator. We use it only to provide, secure, support and improve the Service, as the Operator directs, and as required by law. Each Operator's data is kept separate from every other Operator's.
Renter data. When a Renter signs up or pays, the information they provide is shared with the Operator they rent from, which uses it under its own policies. Questions about how an Operator uses your information should go to that Operator.
Service providers. We use trusted providers to run the Service, such as hosting and security (Cloudflare), databases (Supabase), email delivery, maps (Google) and payment processing (Stripe and Square). They may process data for us under their terms.
Aggregate information. We may use de-identified, aggregated usage information (that does not identify any Operator or person) to operate and improve our products.
We use reasonable administrative, technical and physical safeguards, but no system is perfectly secure. We will notify affected Operators of a security incident involving their data as required by law.
8. Acceptable use
You agree not to:
- break the law, or use the Service to harass, defraud or mislead anyone;
- access accounts, facilities or data you are not authorized to access, or try to get around security or usage limits;
- upload malware, or probe, scan, overload or disrupt the Service;
- copy, resell, reverse engineer or build a competing product from the Service, except as the law allows;
- send spam or messages without the consent the law requires.
We may suspend access that we reasonably believe violates these Terms or puts the Service, other users or the public at risk, and we will tell you when we can.
9. Third-party services
The Service connects to services we do not control, such as payment processors, email providers, maps and accounting tools. Your use of those services is governed by their terms, and we are not responsible for them. If a third party changes or stops its service, related features may change or stop.
10. New and preview features
Some features may be labeled preview, pilot, beta or coming soon. They are provided as-is, may change or be withdrawn, and may not be covered by support commitments.
11. Our software and your feedback
Cardinal and its licensors own the Service, including its software, design and the Parking Wizard and Cardinal Ecosystem names and logos. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms during your subscription or while you have access.
Operators keep ownership of their logos, photos and content they add to their website or records, and give us permission to host and display it to provide the Service. If you send us feedback or ideas, we may use them without obligation to you.
12. Availability and changes to the Service
We work to keep the Service available and reliable, but it may sometimes be unavailable for maintenance, updates or reasons outside our control. We may improve, change or remove features. If we remove a major feature an Operator pays for, we will give reasonable notice. Unless a signed agreement says otherwise, there is no guaranteed uptime or service level.
13. Disclaimers
To the fullest extent the law allows, the Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that calculations, balances, reports or reminders will be free of mistakes. Operators should review their records, and Renters should contact their Operator about any charge they believe is wrong.
14. Limitation of liability
To the fullest extent the law allows:
- Cardinal will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, even if we were told they were possible.
- Cardinal's total liability for all claims relating to the Service is limited to the amount the Operator paid Cardinal for the Service in the 12 months before the event giving rise to the claim, or, for Renters and anyone else who has not paid Cardinal, one hundred U.S. dollars (US $100).
- Cardinal is not responsible for an Operator's decisions or conduct, including rental terms, charges, towing, lockouts, liens or sales, or for a Renter's vehicles, trailers or property kept at a lot.
Some laws do not allow certain limits, so some of these may not apply to you.
15. Indemnity
Operators will defend and indemnify Cardinal and its members, officers and employees against third-party claims, losses and reasonable costs (including attorneys' fees) arising from the Operator's business, its rental agreements and dealings with Renters, its data and content, or its violation of these Terms or the law.
16. Ending the Service and your data
Operators may stop using the Service at any time by cancelling their subscription. We may end or suspend access for serious or repeated violations of these Terms, non-payment after notice, or if required by law.
After a subscription ends, Operators can ask us to export their records for at least 30 days. After that we may delete Operator data, except copies we must keep by law, for security, or in routine backups that are deleted on their normal schedule. Payment, ledger and audit records may be retained as required for accounting and legal purposes.
Sections that by their nature should survive (including fees owed, data, disclaimers, limits of liability, indemnity and governing law) continue after these Terms end.
17. Governing law and disputes
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at the email below and try in good faith to resolve the dispute informally for at least 30 days.
If it is not resolved, any lawsuit must be brought in the state or federal courts located in Texas, and you and Cardinal consent to the personal jurisdiction of those courts. Either party may bring an individual claim in small-claims court if it qualifies. Nothing here limits rights you have under laws that cannot be waived.
18. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new effective date. If a change is material, we will give Operators at least 30 days' notice by email or in the Service before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
19. General
These Terms, together with any order form or signed agreement with Cardinal, are the entire agreement about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a right is not a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition or sale of assets. Neither party is responsible for delays caused by events beyond its reasonable control. Notices to Operators may be sent to the account owner's email address.
